These Terms of Service ("Terms") govern your access to and use of SaudizationMeter, a Saudization and Nitaqat compliance tracking platform operated at www.saudizationmeter.com. By creating an account, accessing, or using our services, you agree to be bound by these Terms. Please read them carefully.

1.Acceptance of Terms

By accessing or using SaudizationMeter, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations of the Kingdom of Saudi Arabia. If you do not agree to any part of these Terms, you must not use the service. If you are using the service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

2.Service Description

SaudizationMeter provides Saudization compliance tracking tools including real-time Nitaqat band calculation, what-if scenario planning, employee management, compliance snapshots, historical trend tracking, team collaboration, and exportable reports. You may authenticate using email and password or Google OAuth 2.0 (which accesses only your basic profile information: email, name, and profile picture). The service is designed to assist with workforce compliance planning but is not a substitute for official MHRSD or Qiwa portal verification. All calculations are advisory and should be independently verified.

3.Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, including your password or the security of the Google account you use to sign in. You must provide accurate and complete information when creating your account. You are responsible for all activities that occur under your account, including actions taken by team members you invite. You must notify us immediately at admin@saudizationmeter.com if you suspect unauthorized access to your account.

4.Free Plan & Paid Tiers

SaudizationMeter offers a free plan with limited features and paid subscription tiers (Starter, Pro, Enterprise) with increasing capabilities. Feature limits (number of companies, employees, scenarios, team members, export formats, and history retention) are enforced per tier as described on our Pricing page. We reserve the right to modify plan features and pricing with at least 30 days' advance notice. Changes to pricing do not affect active subscription periods.

5.Subscription & Billing

Paid subscriptions are billed through Paddle, our authorized payment processor and Merchant of Record. All prices are displayed in US Dollars (USD). Subscriptions renew automatically at the end of each billing cycle (monthly or annual) unless cancelled before the renewal date. You can manage your subscription, change plans, or cancel at any time through Settings > Billing. Upon cancellation, your access to paid features continues until the end of the current billing period, after which your account reverts to the free plan. Refund requests are processed through Paddle, our authorized payment processor and Merchant of Record. We offer a 30-day refund window from the date of purchase, no questions asked. Refund requests must be submitted within 30 days of the transaction date. To request a refund, contact admin@saudizationmeter.com or Paddle support directly. Refunds are issued to the original payment method.

6.Data Accuracy Disclaimer

SaudizationMeter calculations are based on publicly available Nitaqat guidance, published MHRSD sector parameters, and the data you provide. We do not guarantee that our calculations exactly match official MHRSD or Qiwa portal results. Band thresholds, credit rules, salary requirements, and regulations may change without notice from the Saudi government. You must always verify your compliance status through official channels (Qiwa portal, MHRSD) before making business, hiring, or workforce decisions. SaudizationMeter shall not be held liable for decisions made based on calculations provided by the service.

7.Intellectual Property

SaudizationMeter and its original content, features, functionality, user interface, algorithms, and documentation are the exclusive property of SaudizationMeter and are protected by international copyright, trademark, and intellectual property laws. Your data remains your property — we claim no ownership over the company information, employee records, scenarios, or any other data you input into the service. You retain all rights to your data and may export it at any time.

8.User Conduct

You agree not to: (a) use the service for any unlawful purpose or in violation of any applicable laws or regulations; (b) submit false, misleading, or fraudulent data with the intent to deceive regulatory authorities; (c) attempt to gain unauthorized access to other users' data or accounts; (d) reverse engineer, decompile, or disassemble any part of the service; (e) use automated scripts, bots, or scraping tools to access the service; (f) interfere with or disrupt the service's infrastructure or security; (g) share your account credentials with unauthorized third parties; or (h) resell or redistribute the service without our written authorization.

9.Privacy & Data Protection

Your privacy is important to us. Our collection, use, storage, and sharing of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using SaudizationMeter, you consent to the data practices described in our Privacy Policy. We are committed to compliance with the Saudi Personal Data Protection Law (PDPL). If you sign in with Google OAuth, our handling of your Google user data complies with the Google API Services User Data Policy, including the Limited Use requirements.

10.Third-Party Services

SaudizationMeter integrates with third-party services including Paddle (payment processing and Merchant of Record, paddle.com), Google (OAuth authentication and Analytics), Supabase (database and authentication infrastructure), and Vercel (application hosting). These services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of third-party services is at your own risk.

11.Limitation of Liability

To the maximum extent permitted by applicable law, SaudizationMeter is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, business losses, government penalties, fines, visa-related costs, or any damages resulting from inaccurate Saudization calculations, incorrect band classifications, reliance on the service for regulatory compliance, or service interruptions.

12.Indemnification

You agree to indemnify, defend, and hold harmless SaudizationMeter, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your submission of inaccurate or fraudulent data.

13.Termination

You may terminate your account at any time by deleting your companies through the Settings page and requesting account deletion at admin@saudizationmeter.com. We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or use the service in a manner that threatens the security or integrity of our platform. Upon termination, your data will be deleted in accordance with our Privacy Policy. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) shall survive.

14.Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. In the event of any dispute arising from or relating to these Terms or the use of the service, the parties shall first attempt to resolve the dispute amicably through good-faith negotiation for a period of 30 days. If the dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the competent courts in Riyadh, Kingdom of Saudi Arabia.

15.Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

16.Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and/or a prominent in-app notification at least 30 days before they take effect. Your continued use of the service after the effective date of changes constitutes acceptance of the new Terms. If you do not agree with the modified Terms, you must stop using the service and delete your account before the changes take effect.
